Terms and Conditions

1. Services Overview

Precision VA Match ("we," "us," "our") provides virtual assistant recruitment, screening, placement, and ongoing membership services to business owners and entrepreneurs ("you," "Client").

Our services include one-time placement packages (Precision Match, Precision System, Precision Partner) and an optional ongoing membership (Precision Membership).

By purchasing any service or membership, you agree to these Terms & Conditions in full.

2. Placement Services

All placement packages include a 30-day replacement guarantee from the date the virtual assistant begins working with you. If the placed VA leaves or does not meet the agreed-upon role requirements within this 30-day period, we will conduct a new search and place a replacement at no additional cost.

Placement fees are one-time, non-refundable, and due in full before the recruitment process begins. Delivery timelines are estimates and may vary depending on role complexity and candidate availability.

You hire and pay your virtual assistant directly. Precision VA Match does not employ, manage, or take any portion of your VA's salary.

3. Precision Membership

The Precision Membership is an optional monthly subscription available to any Client who has purchased a placement package. The membership fee is $497 per month, billed monthly. The first month is complimentary with any placement tier.

3.1 Membership Benefits

Monthly Group Coaching: Your VA(s) receive access to a live monthly group coaching session covering high-performance training and the newest AI tools.
Replacement Guarantee: As long as your membership is active, if any VA placed by Precision VA Match™ leaves or underperforms, we will conduct a new search and place a replacement at no additional cost. This applies to all VAs placed through our services for the duration of your active membership.
Priority Support: Active members receive priority response to all support requests.

3.2 Replacement Guarantee Terms

The replacement guarantee covers the same role, same skill set, and same responsibilities as the original placement only. The replacement VA will be matched to the original role brief provided during the initial placement process.
If you require a VA for a different role, different skill set, or different responsibilities than the original placement, this constitutes a new placement and is subject to a new placement fee.
"Underperformance" is defined as the VA consistently failing to meet the responsibilities and standards outlined in the original role brief provided during the placement process.
The replacement guarantee is void immediately upon cancellation of the membership. After cancellation, the standard 30-day placement guarantee (if still within the 30-day window) applies.

3.3 Cancellation

The membership is month-to-month with no long-term contracts. You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. Upon cancellation, all membership benefits — including the replacement guarantee — cease immediately at the end of the billing period.

4. Right to Modify Services, Pricing, and Terms

Precision VA Match reserves the right to modify, update, or discontinue any service, membership benefit, pricing, or these Terms & Conditions at any time, at our sole discretion.

For active membership holders, we will provide 30 days written notice of any material changes to membership pricing or benefits. If you do not agree with the changes, you may cancel your membership before the changes take effect.

Continued use of our services after changes take effect constitutes acceptance of the updated terms.

5. Right to Terminate Client Relationship

Precision VA Match reserves the right to terminate any client relationship or membership at any time, for any reason, at our sole discretion, with 30 days written notice.

In the event of termination by us, you will receive a pro-rated refund for any unused portion of your current membership billing period. No refund is issued for placement fees already paid, as those services will have been delivered.

We may terminate a client relationship immediately and without notice in cases of abusive behavior toward our team or placed VAs, fraudulent activity, or material breach of these terms.

6. Client Responsibilities

You are responsible for providing a clear and accurate role brief for each VA placement.
You are responsible for paying your VA directly, on time, and in accordance with any agreement between you and the VA.
You are responsible for providing a reasonable working environment and clear communication to your VA.
You agree not to directly recruit, hire, or solicit any candidate presented to you by Precision VA Match™ outside of our placement process.

7. Limitation of Liability

Precision VA Match provides recruitment, screening, and placement services. We are not the employer of any virtual assistant placed with you. We do not guarantee specific business outcomes, revenue increases, or productivity gains resulting from our placements.

Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you to Precision VA Match™ in the 12 months preceding the claim.

8. Intellectual Property

All materials provided as part of our services — including onboarding playbooks, delegation frameworks, AI audit reports, and coaching content — are the intellectual property of Precision VA Match. You are granted a non-exclusive, non-transferable license to use these materials for your own business operations. You may not resell, redistribute, or share these materials with third parties.

9. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Precision VA Match operates. Any disputes arising from these terms shall be resolved through good-faith negotiation before pursuing formal legal action.
